What This Means (2025 FDD)
According to Bambu's 2025 Franchise Disclosure Document, 'Affiliation' refers to the capacity of an officer, partner, director, manager, agent, employee, or independent contractor who is or will become involved with the franchisee. It also includes individuals related to someone with such a connection to the franchisee.
This definition is important because individuals with an 'Affiliation' to a Bambu franchisee will likely have access to confidential information about Bambu's operations. As a result, these individuals are subject to certain obligations, including nondisclosure and noncompetition agreements with Bambu and the franchisee.
Specifically, these 'Associates' must agree not to disclose confidential information related to the Bambu system, its business format, recipes, and other proprietary information. They are also restricted from engaging in any competitive business activities during their affiliation, except as authorized by Bambu and the franchisee. These restrictions aim to protect Bambu's trade secrets and maintain its competitive advantage.
