What This Means (2025 FDD)
According to Bambu's 2025 Franchise Disclosure Document, in the context of the General Release agreement, 'Bambu' refers to Bambu Franchising LLC, a Colorado limited liability company. The General Release is made between the franchisee and Bambu, and it outlines the terms under which the franchisee releases Bambu from any and all claims.
The document specifies that the franchisee is releasing Bambu and its affiliates from any liabilities, damages, or claims that may arise from their relationship, the Franchise Agreement, or the franchise relationship itself. This release covers both known and unknown claims, indicating a comprehensive waiver of rights by the franchisee.
Furthermore, the FDD includes specific clauses addressing the release of unknown claims and waivers of state laws, such as those in California, Montana, and North Dakota. These clauses emphasize that the franchisee acknowledges they may discover new facts after signing the release but still intend to fully and finally settle all claims. The franchisee also agrees to defend and indemnify Bambu against any claims made contrary to the release agreement. This comprehensive release is often required when a franchisee transfers their franchise, enters into a successor agreement, or under other circumstances where Bambu consents to the franchisee's request, ensuring that Bambu is protected from potential future liabilities related to the franchise operation.
