Can Bambu change or modify the Bambū system?

If Bambu shall make any Alterations to the Marks or Bambū system, Franchisee shall, within a reasonable time after receipt of written notice of such Alteration from Bambu, take such action, at Franchisee's sole expense, as may be necessary to comply with such required Alteration.

Franchisee shall not unilaterally change, alter or modify the Marks or Bambū system in any way without Bambu's prior written consent which may be withheld in Bambu's sole discretion.

Franchisee's approved changes or improvements to the Bambū system or the Marks shall inure to the exclusive benefit of Bambu.

What This Means (2025 FDD)

According to Bambu's 2025 Franchise Disclosure Document, Bambu retains the right to modify the Bambū system. Specifically, Bambu can change or improve the Marks and Bambū system over time, and franchisees must use them according to the agreement's terms and conditions. Franchisees are not allowed to unilaterally change, alter, or modify the Marks or Bambū system in any way without Bambu's prior written consent, which Bambu may withhold at its discretion. Any changes or improvements made by a franchisee to the Bambū system or Marks automatically become the property of Bambu.

Bambu may also modify its standards and specifications, as well as operating, marketing, and other policies and procedures, as it deems necessary or desirable. These modifications can include regional and local variations, and franchisees are required to incorporate these changes into their shoppe. Furthermore, Bambu can modify the franchise agreement itself with the agreement of a Super-Majority (at least 75%) of franchisees and licensees, and such modifications can be binding on all franchisees, regardless of individual consent.

If Bambu makes alterations to the Marks or Bambū system, franchisees must take necessary actions to comply with the required changes at their own expense within a reasonable time after receiving written notice. This includes renovations, refurbishments, remodeling, or replacements of real and personal property and equipment when reasonably required by Bambu to comply with image and operational standards. Bambu also has the right to change or modify dress code guidelines. These stipulations ensure that Bambu maintains control over its brand and operational standards, while franchisees are responsible for adapting to these changes at their own cost.
