In case of discrepancies between the English and translated versions of the Bambu franchise agreement, which version prevails?

Bambu Franchise · 2025 FDD

Answer from 2025 FDD Document

The English language will be regarded as the authoritative and official text of this Agreement; however, this Agreement may be translated into the language in dominant use in the Protected Area, at Franchisee's expense, in the event that translation is necessary for any reason, including for the purpose of registration of this Agreement with the applicable governmental authority.

Nevertheless, in the event that any discrepancies exist between the English text and the translated text, the English text will be considered the official text of this Agreement.

What This Means (2025 FDD)

According to Bambu's 2025 Franchise Disclosure Document, the English language version of the franchise agreement is the official and authoritative text. While the agreement may be translated into the dominant language of the franchisee's protected area at the franchisee's expense, the English version takes precedence if any discrepancies arise between the two versions. This translation may be necessary for registration with local governmental authorities.

This clause ensures that the original intent and specific legal definitions within the English version are upheld, which is important for maintaining consistency and clarity in the franchise relationship. Franchisees need to be aware that even if they are presented with a translated version for convenience or legal requirements in their region, the English version is the controlling document.

For a prospective Bambu franchisee, this means they should ensure they fully understand the English version of the franchise agreement, potentially seeking legal counsel to review it. While a translated version might help with day-to-day understanding, any legal disputes or interpretations will be based on the English text. This protects Bambu by ensuring a single, authoritative version of the agreement governs the franchise relationship, regardless of where the franchise operates.
