What This Means (2025 FDD)

Based on the 2025 B Bops Franchise Disclosure Document, the terms 'Company' and 'Franchisee' are implicitly defined through their usage and obligations outlined in the franchise agreement, though no explicit definitions are present in the provided excerpts. The 'Company,' referred to as "B-BOP'S FRANCHISING CORP.," is the entity granting the franchise and is responsible for providing support and services to the franchisee, such as developing advertising campaigns and providing the operational manual. The 'Franchisee' is the party receiving the franchise, responsible for operating the B Bops restaurant according to the company's standards and policies, managing the restaurant, and paying the required fees.

The Franchisee's obligations include devoting full-time efforts to managing the franchise, maintaining the premises, and adhering to the standards set forth in the operations manual. The Franchisee must also pay an initial franchise fee, which is $30,000 if they do not already own a B Bops restaurant, or $25,000 if they do. Additionally, the Franchisee is responsible for paying a monthly royalty and service fee equal to 5% of gross sales. The Franchisee is also subject to certain restrictions, such as not operating other businesses on the franchise premises without the Company's consent and adhering to a non-compete agreement for a period of two years after termination or expiration of the franchise agreement.

The Company's obligations include providing the Franchisee with services and assistance, such as developing advertising campaigns and providing the operations manual. The Company also has the right to inspect the franchise premises to ensure compliance with its standards and policies. The Company also agrees not to open or franchise another B Bops restaurant within a two-mile radius of the Franchise Premises during the term of the agreement. The Franchisee is required to get written approval from the Company for the restaurant site to ensure it is suitable for a B Bops restaurant.

While the excerpts do not provide explicit definitions, the roles and responsibilities of both parties are clearly delineated throughout the franchise agreement. A prospective franchisee should carefully review the entire agreement to fully understand their rights and obligations, as well as the rights and obligations of B Bops as the franchisor. Understanding these roles is crucial for a successful franchise relationship.
