What happens if a B Bops franchisee is not in compliance with the terms of the Development Agreement?

- Upon approval of a site, the Company is required by the Development Agreement to grant you the right to establish and operate a Franchise at such site, provided that you are in compliance with the terms of the Development Agreement and the terms of all franchise agreements between the parties. (Section 6 of the Development Agreement) The standard form of franchise agreement then being used by the Company to grant new Franchises will be forwarded to you and you will have a period of fifteen (15) days in which to execute such franchise agreement and return it, together with payment of the initial franchise fee, to the Company. Upon execution of the then current franchise agreement, you will be entitled to receive the Company's initial and continuing assistance in establishing and operating the Franchise. The assistance to be provided by the Company under the current Franchise Agreement is discussed above.
Start-Up Period. The Company estimates that the approximate length of time between execution of the Development Agreement and opening of the initial Franchise will be four (4) to nine (9) months, assuming you promptly commence construction of the initial unit.

What This Means (2025 FDD)
According to B Bops's 2025 Franchise Disclosure Document, if a franchisee is not in compliance with the terms of the Development Agreement, B Bops is still required to grant the franchisee the right to establish and operate a franchise at an approved site. This is contingent on the franchisee adhering to the Development Agreement's terms and all franchise agreements between the parties.
Upon B Bops's approval of a site, the franchisee will receive the standard form of franchise agreement and has 15 days to execute and return it with the initial franchise fee. Once the franchise agreement is executed, the franchisee is entitled to B Bops's initial and ongoing assistance in establishing and operating the franchise.
The FDD also mentions that B Bops will advise the franchisee whether indoor seating is required at the B Bop's Restaurant. The company estimates that the time between the Development Agreement and the opening of the initial franchise will be four to nine months, assuming construction begins promptly.
