- A. This Agreement grants to Developer only the right to select sites for the construction of Units in the Trade Area and to submit such proposed sites to Company for its approval in accordance with the terms hereof.
This Agreement does not grant a license to Developer of any rights to use the Licensed System, the Licensed Marks or to open or operate any Unit within the Trade Area.
Developer shall obtain such rights with respect to a given Unit only upon the execution of a Unit Franchise Agreement for such Unit.
Developer shall not use the Licensed Marks in connection with any business or activity apart from operation of one or more Units pursuant to Unit Franchise Agreements entered into between Developer and Company.

Developer shall have no right under this Agreement to sub-franchise the development rights for any Unit or in any other manner license others to utilize the Licensed System or the Licensed Marks at locations inside or outside of the Trade Area.

What This Means (2025 FDD)
According to B Bops's 2025 Franchise Disclosure Document, the Development Agreement does not grant the Developer a license to use the Licensed System. The agreement solely grants the developer the right to select sites for B Bops restaurant construction within a specific trade area and submit these sites for the company's approval.
To gain the rights to use the Licensed System, Licensed Marks, and to operate a B Bops restaurant, the developer must enter into a separate Unit Franchise Agreement for each specific unit. The developer is prohibited from using the Licensed Marks for any business activities outside of operating a B Bops restaurant under a Unit Franchise Agreement.
Furthermore, the Development Agreement does not allow the developer to sub-franchise development rights or license others to use the Licensed System or Licensed Marks, either within or outside the designated trade area. This ensures that B Bops maintains control over its brand and operating standards, and that each individual restaurant is properly licensed and operated under a separate franchise agreement.
