NOW, THEREFORE, in consideration of the foregoing recitals and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

  1. GRANT AND ACCEPTANCE OF FRANCHISE. Company hereby grants to Franchisee, and Franchisee hereby accepts from Company, a nonexclusive right, license and franchise to establish and operate a B-Bop's Restaurant (the "Franchise") at the following location only:

(the "Franchise Premises"), and to use only in connection therewith the Licensed System and Licensed Marks, together with such other confidential and valuable information and trade secrets as may now or hereafter exist and constitute a portion of the Licensed System, all upon the terms and conditions set forth in this Agreement. Franchisee agrees to establish, maintain, operate and promote the Franchise in compliance with the provisions of this Agreement and with Company's standards, policies and procedures as prescribed from time to time by Company in the confidential operations manual provided by Company (the "Operations Manual").

According to B Bops's 2025 Franchise Disclosure Document, a developer is granted the exclusive right to develop B Bops Restaurants within a defined Trade Area, provided they adhere to the Development Schedule outlined in Appendix II. The developer is responsible for developing, constructing, and opening B Bops Restaurants within the Trade Area according to the agreed-upon Development Schedule and the terms of the Development Agreement. They must also operate, maintain, and promote each B Bops Restaurant (referred to as a "Unit") in accordance with the standard franchise agreement used by B Bops at the time of each Unit's development.

Before starting construction, the developer must submit each proposed site to B Bops for approval, including all requested information. B Bops has the discretion to approve or reject the site within 30 days of receiving the materials, and will advise if indoor seating is required. The developer cannot enter into any binding agreements for the site until B Bops provides written approval. However, B Bops's approval does not guarantee the site's success, and the developer assumes all risks associated with the location.

Once a site is approved, B Bops will grant the developer the right to operate a restaurant at that location, assuming the developer is compliant with the Development Agreement and all Unit Franchise Agreements. B Bops will then provide a Unit Franchise Agreement, which the developer must execute and return with the initial franchise fee within 20 days. Failure to do so will void the site approval. The Unit Franchise Agreement governs the franchise relationship for each unit, except where it conflicts with the Development Agreement, in which case the Development Agreement prevails. The Unit Franchise Agreements remain in effect even after the Development Agreement expires or terminates.

After site approval, the developer must promptly acquire the site and begin construction according to the Unit Franchise Agreement. However, the Development Schedule takes precedence over the Unit Franchise Agreement regarding construction and opening timelines. The developer's financial stability is considered crucial, and B Bops may request financial statements and development financing proposals from time to time. The developer is restricted from engaging in any similar business to B Bops during the agreement term and for two years after termination within the Trade Area or a 20-mile radius of any B Bops Restaurant.
