What This Means (2025 FDD)

According to B Bops's 2025 Franchise Disclosure Document, a developer who enters into a Multiple-Unit Development Agreement is obligated to develop, own, operate, maintain, and promote each B Bops Restaurant within a specified trade area. This obligation is in accordance with the development schedule and the terms and conditions outlined in both the Development Agreement and the standard Unit Franchise Agreement used by B Bops at the time of each unit's development. The developer must also execute a Unit Franchise Agreement for each location as specified in the Development Agreement.

This means that the developer cannot simply develop the restaurants and then sell them off to other franchisees. They are required to be actively involved in the ownership and operation of each B Bops location they develop. This ensures that the developer has a vested interest in the success of each restaurant and maintains the standards and quality expected by B Bops. The developer's commitment extends to adhering to the terms of the Unit Franchise Agreement, which governs the franchise relationship for each unit, even after the Development Agreement expires or terminates.

B Bops grants the developer the right to own and operate a restaurant at an approved site once a proposed site is approved, provided the developer complies with the terms of the Development Agreement and all Unit Franchise Agreements. The developer must then acquire the site and begin construction of the unit. The development schedule outlined in the Development Agreement takes precedence over the construction timelines specified in the Unit Franchise Agreement.

Furthermore, the personal guarantors of the Developer are bound by the agreement to ensure the obligations are met. They must adhere to the non-disclosure and non-compete covenants, and are personally liable for any breaches of the agreement. This underscores the importance B Bops places on the developer's commitment to the brand and their active role in managing and owning the restaurants.
