What This Means (2024 FDD)
According to Azal Coffee's 2024 Franchise Disclosure Document, Azal Coffee is entitled to communicate the Franchisee Parties' obligations under the Franchise Agreement to any third party if it is deemed necessary by Azal Coffee for the protection of its rights. This communication can occur after the termination, expiration, or any other end of the Franchise Agreement, regardless of the reason or whether the end of the agreement was voluntary or involuntary.
This means that even after a franchisee's relationship with Azal Coffee ends, Azal Coffee retains the right to disclose the franchisee's obligations to third parties if it believes it is necessary to protect its interests. This could include, for example, informing a potential buyer of a franchisee's business about non-compete agreements or confidentiality obligations.
For a prospective Azal Coffee franchisee, this clause underscores the importance of understanding all obligations under the Franchise Agreement, as these obligations can be communicated to third parties even after the franchise relationship has ended. Franchisees should be aware that Azal Coffee has broad discretion to determine what is 'necessary' for the protection of its rights, and this determination could lead to communication of the franchisee's obligations to a wide range of third parties.
