What This Means (2024 FDD)

According to Azal Coffee's 2024 Franchise Disclosure Document, franchisees are solely responsible for ensuring their Franchise Location complies with all governmental and legal requirements related to its design and construction. While Azal Coffee retains the right to review and approve all drawings, plans, and specifications for the Franchise Location to ensure compliance with their standards, this oversight is strictly to enforce adherence to Azal Coffee's specifications.

Azal Coffee explicitly states that they will not evaluate or be responsible for compliance with governmental requirements, legal requirements, or the adequacy of design and engineering related to the construction or improvement of the franchise location. This means the franchisee bears the full responsibility for ensuring the location meets all local, state, and federal regulations, including building codes, zoning laws, and accessibility standards.

This allocation of responsibility is fairly standard in the franchise industry, where franchisees typically handle local compliance matters. However, it places a significant burden on the franchisee to conduct thorough due diligence and potentially engage qualified professionals, such as architects, engineers, and legal counsel, to ensure full compliance. The franchisee must resolve any issues to Azal Coffee's satisfaction before opening the store.

Prospective Azal Coffee franchisees should carefully consider these responsibilities and factor in the potential costs associated with ensuring compliance when evaluating the franchise opportunity. It is advisable to consult with experienced professionals to navigate the complexities of local regulations and ensure the Franchise Location is fully compliant before commencing operations.
