Azal_Coffee Franchise · 2024 FDDAnswer from 2024 FDD Document
Each required insurance policy must meet the following requirements: (a) the policy must name us (and any of our affiliates or representatives that we may reasonably specify) as an additional insured on the form specified by us; (b) the policy must not be subject to cancellation, modification, or amendment except after thirty (30) days written notice to us; (c) the policy must be obtained from or through a Designated or Approved Supplier, as applicable, and an insurance carrier with an AM Best's Rating of not less than A-IX; (d) the policy must provide that your failure to comply with any term, condition, or provision of the insurance contract, or other conduct by you, will not void or otherwise affect the coverage of us or our affiliates or representatives (e.g. we, although named as an insured, will nevertheless be entitled to recover under the policy on any loss incurred by us or our agents or employees by reason of your negligence or the negligence of your agents and employees); (e) the applicable policies must cover your indemnification obligations under this Agreement; (f) the policy must be primary to and without right of contribution from any insurance purchased by us; and (g) the policy must contain a waiver of subrogation in our favor for casualty losses.

What This Means (2024 FDD)
According to Azal Coffee's 2024 Franchise Disclosure Document, each required insurance policy must name Azal Coffee (and any of its affiliates or representatives that Azal Coffee may reasonably specify) as an additional insured. This must be done on the form specified by Azal Coffee. The policy must also not be subject to cancellation, modification, or amendment except after thirty (30) days written notice to Azal Coffee.
This requirement ensures that Azal Coffee is protected under the franchisee's insurance policies, mitigating potential risks and liabilities for the franchisor. By being named as an additional insured, Azal Coffee can directly benefit from the franchisee's insurance coverage in the event of a claim. The stipulation that changes to the policy require 30 days' notice provides Azal Coffee with time to ensure continued coverage and compliance.
The insurance policy must be obtained from or through a Designated or Approved Supplier, as applicable, and an insurance carrier with an AM Best's Rating of not less than A-IX. The policy must also provide that the franchisee's failure to comply with any term, condition, or provision of the insurance contract, or other conduct by the franchisee, will not void or otherwise affect the coverage of Azal Coffee or its affiliates or representatives. The applicable policies must cover the franchisee's indemnification obligations under the Franchise Agreement, be primary to any insurance purchased by Azal Coffee, and contain a waiver of subrogation in Azal Coffee's favor for casualty losses.
These detailed requirements are typical in franchise agreements to protect the franchisor's interests and maintain consistent risk management across the franchise system. Prospective franchisees should carefully review these insurance requirements and ensure they can comply with them, as failure to do so could result in a breach of the Franchise Agreement.
