What This Means (2024 FDD)
Based on the 2024 Franchise Disclosure Document, the excerpts provided do not explicitly state that Azal Coffee requires its suppliers to have their employees sign confidentiality agreements. However, the FDD does emphasize the importance of protecting Azal Coffee's confidential information and trade secrets. Franchisees are required to maintain confidentiality, and the franchisor takes measures to protect its intellectual property.
Item 22 discusses various contracts and agreements related to the franchise, including those pertaining to termination, transfer, and compliance with laws. It also mentions the franchisee's duty to protect confidential information and cease using intellectual property upon termination or transfer of the franchise agreement. While these clauses highlight the importance of confidentiality within the Azal Coffee franchise system, they do not extend this requirement to the employees of the brand's suppliers.
A prospective franchisee should directly ask Azal Coffee whether suppliers are mandated to have their employees sign confidentiality agreements. This inquiry would clarify the extent to which the franchisor ensures the protection of its confidential information throughout its supply chain. Understanding this aspect of Azal Coffee's operational standards is crucial for assessing the overall risk and compliance requirements associated with the franchise.
