Can Azal Coffee require a supplier to provide samples for inspection?
Azal_Coffee Franchise · 2024 FDDAnswer from 2024 FDD Document
Before we approve a supplier, we may require the supplier to enter into an agreement with us in a form reasonably acceptable to us that requires the supplier to: (a) follow our procedures, specifications and standards, formulas, patterns, and recipes; (b) allow periodic quality control inspections of the supplier's premises and production facilities; (c) provide a reasonable number of samples, without charge, for inspection; (d) keep any trade secrets or other confidential information disclosed to it by you or us in confidence and have employees to whom disclosure is made sign agreements that they will not use or disclose confidential information; and (e) pay a reasonable license fee for a limited license for the production and sale of items using the Intellectual Property (defined in Section 11.1). Our approval of a supplier is not a blanket approval of the items the supplier may sell but only for specific items sold by that supplier as approved by us.

What This Means (2024 FDD)
According to Azal Coffee's 2024 Franchise Disclosure Document, Azal Coffee can require suppliers to provide samples for inspection before approving them. Specifically, Azal Coffee may require potential suppliers to enter into an agreement that includes providing a reasonable number of samples without charge. This allows Azal Coffee to assess the supplier's products and ensure they meet the brand's standards before they are approved to supply to franchisees.
This requirement is part of a broader set of conditions Azal Coffee may impose on suppliers to maintain quality control and uniformity within the franchise system. These conditions also include requiring suppliers to follow Azal Coffee's procedures, specifications, standards, formulas, patterns, and recipes, as well as allowing periodic quality control inspections of the supplier's premises and production facilities. Additionally, suppliers must agree to keep any trade secrets or confidential information secure and ensure their employees also adhere to confidentiality agreements.
Azal Coffee may also require suppliers to pay a reasonable license fee for using the brand's intellectual property in the production and sale of items. However, it is important to note that Azal Coffee's approval of a supplier is specific to the items approved and does not constitute a blanket approval for all items the supplier may sell. This ensures that each product used in the Azal Coffee franchise meets the franchisor's standards.
This policy benefits prospective Azal Coffee franchisees by ensuring that the products and ingredients used in their stores meet the franchisor's quality standards. By maintaining strict control over the supply chain, Azal Coffee aims to provide a consistent customer experience across all franchise locations. Franchisees should be aware that they are generally required to purchase from approved suppliers to maintain these standards.
