Before we approve a supplier, the supplier may be required to enter into an agreement with us in a form reasonably acceptable to us providing that the supplier will: (a) follow our procedures, specifications and standards, formulas, patterns, and recipes; (b) allow periodic quality control inspections of the supplier's premises and production facilities; (c) provide a reasonable number of samples, without charge, for inspection; (d) keep any trade secrets or other confidential information disclosed to it by us in confidence and have employees to which disclosure is made sign agreements that they will not use or disclose confidential information; and (e) pay a reasonable license fee for a limited license for the production and sale of items using our intellectual property.

What This Means (2024 FDD)
According to Azal Coffee's 2024 Franchise Disclosure Document, Azal Coffee can require potential alternative suppliers to provide samples without charge for inspection. This applies to suppliers of items other than Designated Products or Services. Before Azal Coffee approves a supplier, the supplier may be required to enter into an agreement.
This agreement can stipulate that the supplier will provide a reasonable number of samples without charge for inspection. It also ensures the supplier adheres to Azal Coffee's procedures, specifications, standards, formulas, patterns, and recipes. The supplier must also allow periodic quality control inspections of their premises and production facilities. Additionally, they must keep any trade secrets or confidential information secure, ensuring their employees sign agreements to prevent unauthorized use or disclosure. Finally, the supplier may need to pay a reasonable license fee for using Azal Coffee's intellectual property.
This requirement ensures that Azal Coffee maintains control over the quality and standards of products used in its franchise locations, even when sourced from alternative suppliers. However, franchisees are responsible for reimbursing Azal Coffee for the actual costs incurred during the determination process of whether the product or supplier meets their specifications. This process helps Azal Coffee ensure consistency and protect its brand reputation across all franchise locations.
For a prospective franchisee, this means that if they wish to use a supplier not already approved by Azal Coffee for non-designated items, the supplier must be willing to provide samples for inspection at no cost. This is a standard practice in franchising, allowing franchisors to maintain quality control while giving franchisees some flexibility in sourcing.
