Can Azal Coffee require an alternative supplier to allow periodic quality control inspections?

Azal_Coffee Franchise · 2024 FDD

Answer from 2024 FDD Document

Before we approve a supplier, the supplier may be required to enter into an agreement with us in a form reasonably acceptable to us providing that the supplier will: (a) follow our procedures, specifications and standards, formulas, patterns, and recipes; (b) allow periodic quality control inspections of the supplier's premises and production facilities; (c) provide a reasonable number of samples, without charge, for inspection; (d) keep any trade secrets or other confidential information disclosed to it by us in confidence and have employees to which disclosure is made sign agreements that they will not use or disclose confidential information; and (e) pay a reasonable license fee for a limited license for the production and sale of items using our intellectual property. An approval of a supplier is not a blanket approval of the items the supplier may sell but only for specific items sold by that supplier as approved by us.

What This Means (2024 FDD)

According to Azal Coffee's 2024 Franchise Disclosure Document, Azal Coffee can require that alternative suppliers, for items other than Designated Products or Services, agree to periodic quality control inspections of their premises and production facilities as part of the approval process.

Specifically, before Azal Coffee approves a supplier, the supplier may be required to enter into an agreement ensuring they will allow these inspections. This agreement also ensures the supplier follows Azal Coffee's procedures, specifications, standards, formulas, patterns, and recipes. Additionally, the supplier must provide a reasonable number of samples for inspection without charge, maintain the confidentiality of Azal Coffee's trade secrets and confidential information, and ensure their employees also agree to maintain confidentiality. They may also be required to pay a reasonable license fee for using Azal Coffee's intellectual property.

This requirement ensures that Azal Coffee maintains consistent quality and standards across its franchise system, even when franchisees source products from alternative suppliers. However, the approval of a supplier is not a blanket approval for all items they sell, but only for specific items approved by Azal Coffee. This rigorous process helps protect Azal Coffee's brand reputation and ensures franchisees offer products that meet the franchisor's standards.

For a prospective Azal Coffee franchisee, this means that if they wish to use a supplier not already approved by Azal Coffee for items other than Designated Products or Services, that supplier will need to agree to these quality control inspections and meet other requirements. This may involve some additional administrative work and coordination to ensure the supplier is compliant with Azal Coffee's standards.
