What is the purpose of the Collateral Assignment of Lease required by Azal Coffee?

Azal_Coffee Franchise · 2024 FDD

Answer from 2024 FDD Document

Your lease must be approved by us. However, we will not evaluate or be responsible for the commercial reasonableness or suitability of your lease. That is your sole responsibility and we recommend that you engage independent counsel to assist you in the evaluation and negotiation of your lease. Also, unless we otherwise agree, you and your landlord must sign a Lease Addendum acknowledging certain rights we have under the Franchise Agreement that relate to your lease and you must sign a Collateral Assignment of Lease that assigns the lease to us at our option on the occurrence of certain events. A copy of our standard Lease Addendum is attached to the Franchise Agreement as Appendix G and a copy of our standard Collateral Assignment of Lease is attached to the Franchise Agreement as Appendix H.

What This Means (2024 FDD)

According to Azal Coffee's 2024 Franchise Disclosure Document, franchisees are required to sign a Collateral Assignment of Lease. This agreement assigns the lease to Azal Coffee, giving them the option to take over the lease under certain circumstances. The FDD specifies that these circumstances are related to the Franchise Agreement, but it does not detail what those specific events are.

This requirement means that if a franchisee defaults on their agreement with Azal Coffee, the company has the right to step in and assume control of the store's location lease. This protects Azal Coffee's interests by ensuring they can maintain a presence in that location, even if the original franchisee is no longer operating the business. The franchisor also requires the franchisee and landlord to sign a Lease Addendum acknowledging certain rights Azal Coffee has under the Franchise Agreement that relate to the lease.

For a prospective franchisee, this means understanding the conditions under which Azal Coffee can exercise its rights under the Collateral Assignment of Lease is crucial. It is recommended that a potential franchisee carefully review both the Franchise Agreement and the Collateral Assignment of Lease with legal counsel to fully understand their obligations and the circumstances that could trigger the assignment. This is a fairly standard practice in franchising, as it provides the franchisor with a degree of control over the location of its franchises, which is vital for maintaining brand consistency and protecting its investment.

While Azal Coffee requires franchisees to sign a Collateral Assignment of Lease, the company does not evaluate or take responsibility for the commercial reasonableness or suitability of the lease. The FDD states that it is the franchisee's sole responsibility to evaluate and negotiate the lease, and Azal Coffee recommends engaging independent counsel to assist with this process.
