We and our affiliates, as the result of the expenditure of time, skill, effort, and money, have developed a coffee café that specializes in Yemeni-grown coffee and that sells coffee based beverages, cold drinks, teas, coffee beans, coffee accessories, pastries, baked goods, and other related items, all of which constitute trade secrets and are identified by the public with Azal Coffee products; prescribed exterior and interior design, decor, seating, fixtures, and furnishings; standards and specifications for products and supplies; service standards; uniform standards, specifications, and procedures for operations; training and assistance; and advertising and promotional programs (collectively "Systems"); all of which may be changed, improved, and further developed by us. The Systems we specify for use by the store concept to be licensed to you under to this Agreement are referred to as the "Franchise Systems."

According to Azal Coffee's 2024 Franchise Disclosure Document, the company does provide specifications for the franchise location. Azal Coffee has developed a coffee café concept that includes prescribed exterior and interior designs, decor, seating, fixtures, and furnishings. These elements are part of the "Systems" that Azal Coffee specifies for use by its franchisees.
As part of the Franchise Agreement, the franchisee's lease for the premises must contain certain provisions. The premises must be used solely for the operation of an Azal Coffee store. Additionally, Azal Coffee retains the right to be assigned the franchisee's lease under certain conditions, such as the expiration or termination of the Franchise Agreement or the franchisee's abandonment of the premises. This control over the location and its use ensures uniformity and adherence to the brand's standards.
Furthermore, if a franchisee seeks to renew their agreement, they must maintain possession of the franchise location or secure an alternative premise that complies with Azal Coffee's standards. The franchisor must approve any alternative premises in advance. Franchisees may also be required to update the franchise location to comply with current appearance, trade dress, equipment, fixture, and signage requirements, which may not be uniformly imposed on all franchisees upon renewal.
