If the Guaranty is executed in counterparts, do all counterparts together constitute one instrument for Azal Coffee?

According to the 2024 Azal Coffee Franchise Disclosure Document, the Guaranty may be executed in any number of counterparts. When each counterpart is executed, they are considered original documents. Collectively, all the executed counterparts constitute a single instrument. This means that even if the Guaranty is signed in multiple separate documents, they are all legally considered part of the same agreement.

Furthermore, the FDD states that the Guaranty can be executed on signature pages exchanged via electronic mail or other electronic transmission methods, including PDF or electronic signatures complying with the U.S. federal ESIGN Act of 2000. Any counterpart delivered through such electronic transmission is considered duly and validly delivered and is effective for all purposes. Copies of executed counterparts transmitted by electronic transmission service are considered original executed counterparts for the purposes of the Guaranty.
