Answer from 2024 FDD Document

  1. This Guaranty may be executed in any number of counterparts each of which when so executed shall be an original, but all of which together shall constitute one (1) and the same instrument. This Guaranty may be executed on signature pages exchanged by electronic mail (including pdf or any electronic signature complying with the U.S. federal ESIGN Act of 2000, e.g., www.docusign.com) or other transmission method and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. What This Means (2024 FDD)

According to Azal Coffee's 2024 Franchise Disclosure Document, the Guaranty may be executed in counterparts. Each executed counterpart is considered an original. All of the counterparts together constitute a single instrument. This means that even if the Guaranty is signed in multiple separate documents (counterparts), they are all considered part of the same legally binding agreement.

Azal Coffee permits the use of electronic signatures and transmission methods for executing the Guaranty. Counterparts exchanged via electronic mail, including PDF or any electronic signature complying with the U.S. federal ESIGN Act of 2000 (e.g., www.docusign.com) or other transmission method, are considered validly delivered and effective for all purposes. Copies of executed counterparts transmitted by such electronic transmission service are considered original executed counterparts for purposes of this Guaranty.

For a prospective Azal Coffee franchisee, this clause simplifies the execution process, especially when multiple guarantors are involved or when parties are geographically separated. It allows for efficient signing and exchange of documents without needing physical copies, as electronically transmitted copies are deemed original. This is a fairly standard practice in modern franchising to expedite legal processes.
