What This Means (2024 FDD)

According to Azal Coffee's 2024 Franchise Disclosure Document, franchisees are required to assign all Electronic Media associated with their franchise business to the franchisor. This assignment is part of the consideration for the franchisor granting the franchise license. The franchisor is granted power of attorney to facilitate the transfer of the Electronic Media. Electronic Media includes a broad range of digital platforms and marketing tools, such as websites, email, social networks, mobile applications, and online advertising methods.

This requirement means that upon signing the Franchise Agreement, the franchisee effectively transfers ownership and control of all online assets related to their Azal Coffee franchise to the franchisor. This includes the franchisee's website, social media accounts, and any other digital presence used for advertising or marketing the business. The franchisor can then manage and control these assets as they see fit.

This assignment has significant implications for a prospective Azal Coffee franchisee. While franchisees operate the Electronic Media during the term of the franchise agreement under a limited license, they do not own these digital assets. If the Franchise Agreement expires or terminates, the franchisee must cease using all Electronic Media and, if requested, assign them to Azal Coffee. This could impact the franchisee's ability to maintain an online presence or customer relationships built through these channels after the franchise ends. The franchisee is granted a limited license to use the Telephone Numbers and Electronic Media in connection with the Franchise Business only during the term of the Franchise Agreement and only as long as Franchisee complies with the policies and procedures.

It is relatively common in franchising for franchisors to maintain control over brand-related online assets to ensure consistency and protect the brand's reputation. However, franchisees should carefully consider the implications of assigning their Electronic Media, particularly regarding customer relationships and marketing efforts, and discuss these aspects with the franchisor before signing the Franchise Agreement.
