What This Means (2024 FDD)
According to Azal Coffee's 2024 Franchise Disclosure Document, 'Electronic Media' is comprehensively defined within the context of the franchise agreement. It encompasses various digital platforms and technologies used for the operation, advertising, and marketing of the Azal Coffee franchise business.
Specifically, Electronic Media includes the Internet, email, websites, mobile applications, social networks, wikis, podcasts, online forums, content sharing communities, blogging, and other social media accounts or participations, such as Facebook, Twitter, LinkedIn, YouTube, Pinterest, and Instagram. It also extends to mobile technology, digital coupons, keyword or adword purchasing programs, search engine optimization, search engine marketing, and marketing using other forms of digital media.
This definition is important for prospective Azal Coffee franchisees because the franchise agreement stipulates that all Electronic Media associated with the franchise business must be assigned to Azal Coffee. This means that upon signing the agreement, the franchisee grants Azal Coffee the rights to control and manage all digital assets used for the business's online presence and marketing efforts. Furthermore, upon termination of the franchise agreement, the franchisee must cease using all Electronic Media related to the Azal Coffee business and, if requested, must assign these assets back to Azal Coffee. This ensures that Azal Coffee maintains control over its brand and online presence, even after a franchise relationship ends.
