What This Means (2024 FDD)
According to Azal Coffee's 2024 Franchise Disclosure Document, if Azal Coffee has not already designated or approved a design firm, construction manager, or general contractor for a franchisee's area, the franchisee must obtain Azal Coffee's prior written approval of any such professional they intend to use. To facilitate this review, the franchisee must submit the information and documentation requested by Azal Coffee. Azal Coffee may also charge a fee for this review process.
This requirement ensures that the design and construction of the Franchise Location meet Azal Coffee's standards and specifications. This helps maintain uniformity and quality across all Azal Coffee franchises, which is important for brand consistency and customer experience. However, the FDD also clarifies that while Azal Coffee has the right to review and approve these professionals and the related plans, they are only ensuring compliance with their own specifications and are not responsible for compliance with governmental or legal requirements, or the adequacy of the design and engineering.
In practice, this means a prospective Azal Coffee franchisee needs to budget not only for the costs of hiring a design firm, construction manager, or general contractor but also for potential review fees charged by Azal Coffee. Furthermore, the franchisee bears the ultimate responsibility for ensuring the Franchise Location complies with all applicable laws and regulations, even if Azal Coffee approves the submitted plans and professionals. Franchisees should carefully document all communications and approvals to protect themselves from potential liabilities related to construction and compliance issues.
It is important for prospective franchisees to discuss with Azal Coffee what specific information and documentation is typically required for the review of these professionals, as well as the range of fees that may be charged. Understanding these requirements upfront can help streamline the development process and avoid unexpected costs or delays.
