This EFT Authorization may be executed in any number of counterparts each of which when so executed shall be an original, but all of which together shall constitute one (1) and the same instrument. This EFT Authorization may be executed on signature pages exchanged by electronic mail (including pdf or any electronic signature complying with the U.S. federal ESIGN Act of 2000, e.g., www.docusign.com) or other transmission method and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. What This Means (2024 FDD)
According to Azal Coffee's 2024 Franchise Disclosure Document, copies of executed counterparts transmitted by electronic transmission service are considered original executed counterparts, but this applies specifically to the EFT Authorization, not necessarily the Guaranty. The document states that the EFT Authorization may be executed in any number of counterparts, each considered an original when executed, collectively forming one instrument. Furthermore, it clarifies that the EFT Authorization can be executed on signature pages exchanged via electronic mail or other transmission methods, with copies transmitted electronically being deemed original executed counterparts for the purposes of the EFT Authorization.
This means that for the EFT Authorization, Azal Coffee accepts electronically transmitted copies (e.g., PDFs with electronic signatures) as original documents. This facilitates a more streamlined and efficient process for franchisees when dealing with the EFT Authorization, as physical signatures and mailing of documents are not strictly necessary. This is a fairly common practice in modern franchising, as it speeds up the contracting process and reduces administrative overhead.
However, the FDD excerpt does not explicitly state whether this also applies to the Guaranty or other agreements. A prospective Azal Coffee franchisee should confirm with the franchisor whether electronically transmitted copies are acceptable for all agreements, including the Guaranty, to ensure compliance and avoid potential issues related to document authenticity.
