What This Means (2024 FDD)
Based on the 2024 Azal Coffee Franchise Disclosure Document, the term 'Franchisee' refers to the individual or entity that is granted the right to operate an Azal Coffee store under the terms and conditions outlined in the Franchise Agreement. The document includes several references to the 'Franchisee' in the context of obligations, rights, and restrictions related to the franchise operation. For example, the document refers to statements signed by a franchisee in connection with the commencement of the franchise relationship and mentions conditions purporting to bind any person acquiring any franchise. These references indicate that the 'Franchisee' is the party entering into the agreement with Azal Coffee to establish and run a franchise location.
Specifically, the FDD outlines certain state-specific regulations that impact the franchisee. For instance, in Indiana, the Franchise Agreement is amended to address potential unlawful requirements regarding product purchases, and it clarifies restrictions on franchisor-owned outlets within the franchisee's protected area. Similarly, in North Dakota, the document addresses issues such as arbitration proceedings, restrictions on forum, liquidated damages, applicable laws, and waivers of trial by jury, exemplary damages, and limitations of claims, all of which directly affect the franchisee's rights and obligations. These stipulations are designed to protect the franchisee from potentially unfair or restrictive terms in the standard franchise agreement.
In essence, 'Franchisee' denotes the party responsible for the day-to-day operations of the Azal Coffee franchise, bound by the agreements and stipulations detailed in the Franchise Agreement and related documents. Prospective franchisees should carefully review all sections of the FDD, especially those pertaining to state-specific regulations, to fully understand their rights, responsibilities, and any potential limitations or restrictions imposed by the franchise agreement.
