What This Means (2024 FDD)
According to the 2024 Azal Coffee Franchise Disclosure Document, in the state of Illinois, the franchisee's payment of the initial franchise fee is deferred until two conditions are met. First, Azal Coffee must fulfill all of its initial obligations to the franchisee. Second, the franchisee must have commenced business operations. This requirement was mandated by the Office of the Attorney General due to Azal Coffee's financial condition.
This amendment to Item 5 of the FDD provides a financial assurance to franchisees in Illinois, ensuring that Azal Coffee completes its initial obligations before requiring the initial franchise fee payment. This protects the franchisee's investment by aligning the payment of the fee with the commencement of business operations and the fulfillment of Azal Coffee's responsibilities.
Furthermore, the FDD states that each provision of this amendment is effective only to the extent that the jurisdictional requirements of the Illinois Franchise Disclosure Act are met independently, without reference to the amendment itself. This ensures that the amendment's provisions are legally sound and enforceable within the framework of Illinois law.
