What This Means (2024 FDD)

According to Azal Coffee's 2024 Franchise Disclosure Document, computer software and similar technology are considered Confidential Information. The FDD specifies that "Confidential Information" includes "proprietary information," which encompasses knowledge and experience related to Azal Coffee stores, advertising and marketing techniques, and computer software and systems developed for Azal Coffee. This means that any software or technology created or used by Azal Coffee is considered proprietary and confidential.

As an Azal Coffee franchisee, you would be obligated to protect this information and prevent its disclosure to unauthorized parties. This obligation extends not only during the term of the franchise agreement but also indefinitely after the agreement terminates. This protection includes keeping digital passwords secure and treating any source code, data, reports, and printed materials generated by the software as confidential.

The broad definition of Confidential Information in the Azal Coffee franchise agreement means that franchisees must exercise caution in handling and storing any information related to the Azal Coffee system. This includes not only the software itself but also any data or reports generated by it. Failure to protect this information could result in legal action by Azal Coffee.

This is a fairly standard practice in franchising, as franchisors need to protect their intellectual property and trade secrets. Prospective Azal Coffee franchisees should carefully review the definition of Confidential Information in the Franchise Agreement and understand their obligations to protect it.
