What This Means (2024 FDD)
According to Azal Coffee's 2024 Franchise Disclosure Document, the franchisee's consent is not required for Azal Coffee to assign the lease to another franchisee. Specifically, if Azal Coffee exercises its option to accept assignment of the lease, it has the right to transfer or assign the lease to another Azal Coffee franchisee without needing consent from the landlord.
This clause protects Azal Coffee by allowing them to maintain control over the location of the franchise, even if the original franchisee defaults or the franchise agreement is terminated. This ensures business continuity and protects the brand's presence in that market.
For a prospective franchisee, this means that if Azal Coffee assigns the lease to another franchisee, the original franchisee is relieved of further liability under the lease. However, the original franchisee remains liable for any amounts owed or defaults that occurred before the effective date of the assignment. The new franchisee-transferee will be subject to the terms of the addendum.
This is a fairly standard practice in franchising, as it allows the franchisor to maintain control over the franchise location and ensure the continued operation of the business. However, it is important for a prospective franchisee to understand the implications of this clause and to ensure that they are comfortable with the possibility of the lease being assigned to another franchisee without their consent.
