What agreement does the selling franchisee sign in an Azal Coffee franchise transfer situation?
Azal_Coffee Franchise · 2024 FDDAnswer from 2024 FDD Document
If you acquire an existing Azal Coffee franchise by transfer from another franchisee, you may sign our standard Franchise Agreement as well as an Addendum to Franchise Agreement – Transfer ("Transfer Addendum") (see Exhibit D-1). The Transfer Addendum modifies some of the provisions of the standard Franchise Agreement to reflect the fact that you are acquiring an open and operating Azal Coffee franchise. In a transfer situation, the selling franchisee will sign a Franchise Termination and Release Agreement-Transfer (see Exhibit D-2).

What This Means (2024 FDD)
According to the 2024 Azal Coffee Franchise Disclosure Document, a franchisee who is selling their existing franchise will sign a 'Franchise Termination and Release Agreement-Transfer.' This agreement is referenced as Exhibit D-2 in the FDD.
This agreement likely outlines the terms of the franchise termination, releases the selling franchisee from further obligations under the original franchise agreement, and addresses any potential liabilities or claims between the franchisee and Azal Coffee. It is a standard legal document used in franchise resales to ensure a clean transfer of ownership and responsibilities.
Prospective franchisees who are considering either buying or selling an Azal Coffee franchise should carefully review Exhibits D-1 and D-2 to fully understand their rights and obligations during the transfer process. Consulting with a legal professional is advisable to ensure that the terms of the agreements are fully understood and that their interests are protected.
