Can Aw specify the equipment and fixtures that a franchisee must replace to accommodate new services at the Papa Ray's Pizza Restaurant?

According to Aw's 2025 Franchise Disclosure Document, franchisees are required to replace or add new equipment and fixtures when Aw reasonably specifies. This is to ensure the Papa Ray's Pizza Restaurant meets changing standards or accommodates new services, products, and methods of providing and displaying these new offerings. The franchisee bears the expense of these replacements or additions.

Aw also maintains control over the appearance and condition of the Papa Ray's Pizza Restaurant. Franchisees must maintain the restaurant, including its fixtures, furniture, equipment, and signs, according to Aw's standards. This includes regular cleaning, repainting, redecorating, and necessary repairs or replacements of damaged or obsolete items. Franchisees cannot make material alterations to the premises without prior written approval from Aw; failure to obtain approval can result in Aw rectifying the alterations at the franchisee's expense.

Furthermore, Aw can require franchisees to upgrade, refurbish, and redecorate the premises at reasonable intervals, but not more often than once every five years. These changes must align with the current image for new Papa Ray's Pizza Restaurants, including building design, trade dress, color schemes, and presentation of the Marks. Such upgrades may involve structural changes, remodeling, refurnishing, installation of new equipment, and modifications to existing improvements, all subject to Aw's prior written approval. Franchisees must also use only signs, emblems, designs, and advertising materials that Aw approves.
