What is the process for Aw to notify a franchisee of deficiencies in the condition of the Papa Ray's Pizza Restaurant?

Aw Franchise · 2025 FDD

Answer from 2025 FDD Document

You must give us written notice of your election to exercise your option to renew at least nine (9) months before the end of the term of this Agreement.

Within sixty (60) days of our receipt of your notice, we agree to give you written notice of any deficiencies in your operation or historical performance of the Papa Ray's Pizza Restaurant which could cause us not to renew the Franchise.

Our notice will state what actions, if any, you must take to correct the deficiencies in your operation of the Papa Ray's Pizza Restaurant or of the Premises and will specify the time period in which those deficiencies must be corrected.

Renewal of the Franchise will be conditioned on your continued compliance with all the terms and conditions of this Agreement up to the date of expiration.

If we send a notice of nonrenewal it will state the reasons for our refusal to renew.

What This Means (2025 FDD)

According to Aw's 2025 Franchise Disclosure Document, the notification process for deficiencies is tied to the franchise renewal process. If a franchisee wants to renew their franchise agreement, they must notify Aw in writing at least nine months before the current term expires. Within 60 days of receiving this notice, Aw will then provide the franchisee with a written notice that lists any deficiencies in the operation or historical performance of the Papa Ray's Pizza Restaurant that could prevent Aw from renewing the franchise agreement.

The notice from Aw will detail the specific actions the franchisee needs to take to correct these deficiencies, along with a specific timeframe for completing the corrections. The renewal of the franchise is dependent on the franchisee's continuous adherence to all terms and conditions of the franchise agreement up to the expiration date. If Aw decides not to renew the franchise, they will send a notice of nonrenewal that includes the reasons for their decision.

This process ensures that franchisees are given an opportunity to address any shortcomings in their restaurant's operation or condition before the renewal decision is made. It also provides transparency by requiring Aw to clearly communicate the reasons for potential non-renewal. For a prospective franchisee, this highlights the importance of maintaining compliance with the franchise agreement and addressing any operational issues promptly to ensure a smooth renewal process.
