We reserve the right both within and outside the Protected Area, to: (i) offer and sell similar products using our Marks or other marks through an alternate distribution system, including the Internet or through different types of business locations, such as grocery chains or other retail stores; (ii) establish businesses offering similar services and products using different marks; (iii) acquire or be acquired by a company establishing businesses identical or similar to Papa Ray's Pizza Restaurants; and (iv) engage in any other business activities not expressly prohibited by the Franchise Agreement. We are not required to pay you if we exercise any of these rights within your Protected Area.

What This Means (2025 FDD)
According to the 2025 Aw Papa Ray's Pizza Franchise Disclosure Document, Aw retains specific rights regarding business activities, including the possibility of being acquired by another company. Aw explicitly reserves the right to be acquired by a company that establishes businesses identical or similar to Papa Ray's Pizza Restaurants. This clause exists even if the acquiring company operates, franchises, and/or licenses competitive businesses, potentially including within a franchisee's protected area.
This provision means that a prospective Aw franchisee must acknowledge that Aw could be acquired by a competitor or a company that intends to operate similar pizza businesses. This could lead to increased competition or changes in the franchise system if a new owner implements different strategies or standards. The franchisee's protected area is not a safeguard against competition arising from an acquisition of Aw itself.
Aw also retains the right to offer and sell similar products using their trademarks through alternate distribution systems like the Internet or grocery chains. They can also establish businesses offering similar services and products under different trademarks. These rights, combined with the potential for acquisition, highlight the importance of a franchisee understanding the competitive landscape and the potential for changes in the market and within the Aw franchise system itself.
