What This Means (2025 FDD)

According to Aw's 2025 Franchise Disclosure Document, a general release is required from you and your owners as a condition for Aw's approval of the transfer of your franchise.

Specifically, Aw requires that you sign a general release as part of the transfer conditions. This release likely covers any potential claims or liabilities that Aw might have against you or your owners up to the point of the transfer. This is a fairly standard practice in franchising to ensure a clean break and prevent future disputes related to the previous franchisee's operation of the business.

In addition to the general release, Aw has several other conditions that must be met for the transfer to be approved. These include ensuring you have complied with the Franchise Agreement during its term, all outstanding amounts due to Aw and its affiliates are paid, the transferee qualifies and completes training, the lessor consents to the lease assignment, the transferee assumes your agreement or signs a new one, a transfer fee is paid, Aw approves the transfer terms, you subordinate the buyer's debt to your interest in the franchise, and you or the transferee remodel the restaurant premises.
