You may not use our confidential information (as defined in the Franchise Agreement) in any unauthorized manner. You must take reasonable steps to prevent disclosure of our confidential information to others, including having your managers and employees sign a confidentiality agreement. What This Means (2025 FDD)

According to Aw's 2025 Franchise Disclosure Document, if your managers or employees attend Aw's training programs, seminars, or conferences, they must maintain the confidentiality of the information they receive. They are also required to sign a confidentiality agreement in a form approved by Aw. As a franchisee, you must provide Aw with copies of the signed confidentiality agreements before the manager or employees receive training. This requirement ensures that Aw's confidential information is protected and that all individuals who have access to it are aware of their obligations. Confidential information includes methods, techniques, formats, specifications, procedures, information, systems and knowledge of and experience in the development, operation, and franchising of Papa Ray's Pizza Restaurants.

This requirement is in place to protect Aw's trade secrets and proprietary information. The confidentiality agreements help to prevent unauthorized disclosure of sensitive information that could harm Aw's business. By requiring these agreements, Aw aims to maintain a competitive advantage and protect its brand reputation. The franchisee is responsible for ensuring that all managers and employees comply with these confidentiality requirements.

As a prospective franchisee, it is important to understand the scope of the confidential information and the obligations that you and your employees will have. You should review the confidentiality agreement carefully and ensure that you are able to comply with its terms. Failure to comply with these requirements could result in legal action or termination of the franchise agreement. It is also important to note that the restrictions on disclosure and use of confidential information do not apply to information generally known and used in the food and restaurant industry, as long as the availability is not due to a disclosure by you.
