We assume no direct or indirect liability or obligation to you or to any advertising cooperative with respect to the maintenance, direction or administration of the cooperative, including without limitation, any failure by franchisees to make required contributions to the cooperative.

13. ACCOUNTING, REPORTING, INSPECTION AND AUDITS

13.1 Accounting and Recordkeeping. You agree to establish and maintain a bookkeeping, accounting, and recordkeeping system conforming to generally accepted accounting principles and to the standards, specifications and requirements we prescribe from time to time.

You agree to maintain at the Premises for a minimum of five (5) years from the date of preparation, full, complete and accurate books, records and accounts, copies of sales tax returns and copies of such portions of your and your Owners' state and federal income tax return as reflect the operation of your Papa Ray's Pizza Restaurant.

To encourage prompt payment of all amounts due to us and to cover the costs and expenses involved in handling and processing late payments, you will pay a late payment charge equal to the greater of (i) One Hundred Fifty Dollars ($150.00) or (ii) one and one-half percent (1 ½%) per month on all payments due to us during the period of time said payments are due and unpaid, but no more than the highest interest rate permitted by law. (You acknowledge that the inclusion of this Paragraph in this Agreement does not mean we agree to accept or condone late payments, nor does it indicate that we have any intention to extend credit to, or otherwise finance your operation of the Papa Ray's Pizza Restaurant.) We shall have the right to transfer from your bank account designated for making payments to us in the amount of any interest due and owing under this Paragraph. In addition, you will pay us any and all service charges we incur for each rejected electronic transfer or if you submit to us a check that is not honored and/or returned for insufficient funds.
  • 10.7 Application of Payments. When we receive a payment from you, we have the right in our sole discretion to apply it as we see fit to any past due indebtedness of yours due to us or our affiliates, whether for royalties, Marketing Fund contributions, purchases, interest, or for any other reason, regardless of how you may designate a particular payment to be applied.
  • (i) fail on three (3) or more separate occasions within any twelve (12) consecutive month period to submit when due financial statements, reports or other data, information or supporting records, to pay when due the royalty fees, marketing fund contributions, other payments due to us or to pay amounts due to other persons, or otherwise fail to comply with this Agreement, or with any mandatory specification, standard or operating procedures we prescribe from time to time, whether or not such failures to comply are corrected after notice of those failures to comply is delivered to you;

What This Means (2025 FDD)

According to Aw's 2025 Franchise Disclosure Document, Aw assumes no liability if franchisees fail to make required contributions to the advertising cooperative. However, failure to pay amounts due to other persons or comply with the agreement can lead to a breach of contract.

Specifically, if an Aw franchisee fails on three or more separate occasions within any twelve-month period to pay when due the royalty fees, marketing fund contributions, other payments due to Aw, or amounts due to other persons, this constitutes a failure to comply with the Franchise Agreement. This can occur whether or not the failures are corrected after notice is delivered to the franchisee.

Furthermore, the FDD states that to encourage prompt payment of all amounts due to Aw, franchisees will pay a late payment charge equal to the greater of (i) One Hundred Fifty Dollars ($150.00) or (ii) one and one-half percent (1 ½%) per month on all payments due to Aw during the period of time said payments are due and unpaid. Aw also has the right to transfer funds from the franchisee's bank account to cover any interest due and owing. Additionally, Aw can apply any payment received from the franchisee to any past due indebtedness, including marketing fund contributions or interest, regardless of how the franchisee designates the payment to be applied.
