What This Means (2025 FDD)

According to Aw's 2025 Franchise Disclosure Document, franchisees are prohibited from contesting the validity or ownership of Aw's trademarks, or assisting others in doing so. This restriction applies both during the term of the Franchise Agreement and after its termination or expiration.

This provision ensures that franchisees recognize and respect Aw's ownership of its brand and associated trademarks. It prevents franchisees from taking any actions that could undermine Aw's brand or create confusion in the marketplace. This is a standard clause in franchise agreements, as the strength and recognition of the franchisor's brand are critical to the success of the franchise system.

In practical terms, this means an Aw franchisee cannot fund, advise, or otherwise support any legal challenge against Aw's trademarks. Doing so would be a breach of the Franchise Agreement and could lead to legal action by Aw. Franchisees must also avoid making any statements that could be interpreted as questioning the validity of Aw's trademarks.

This obligation is in place to protect the integrity and value of the Aw brand. By preventing franchisees from challenging the trademarks, Aw aims to maintain consistent brand standards and protect its reputation in the marketplace. This ultimately benefits all franchisees within the Aw system by preserving the brand's strength and customer recognition.
