What efforts must a franchisee exert to promote the Aw business?

You (or your Owner) must at all times perform the obligations under the Franchise Agreement, exert your best efforts to promote and enhance the business of your Papa Ray's Pizza Restaurant and/or to affect the widest and best possible distribution of products and services from your Papa Ray's Pizza Restaurant.

You agree to refrain from any advertising, marketing or promotion which may be harmful to your Papa Ray's Pizza Restaurant, our business, the goodwill associated with the Marks, and other Papa Ray's Pizza Restaurant franchisees.

Before you use them, samples of all advertising and promotional materials and proposed content for the Internet or social media not prepared or previously approved by us must be submitted to us for approval. If we have not approved any submitted advertising within 30 days of receiving it, it will be deemed disapproved. You may not use any advertising or promotional materials that we have disapproved. In addition to your individual local advertising, marketing and promotional expenditures and contributions to the Marketing Fund, if a local or regional advertising cooperative is formed either by us or by Papa Ray's Pizza franchisees and approved by us in your area or region, you agree to participate in such cooperative and contribute to the cooperative in the amount and manner agreed upon by a majority of the members of the cooperative.

What This Means (2025 FDD)

According to Aw's 2025 Franchise Disclosure Document, franchisees must exert their best efforts to promote and enhance the business of their Papa Ray's Pizza Restaurant and to affect the widest and best possible distribution of products and services from their restaurant. This obligation is part of the Franchise Agreement.

Aw franchisees are required to use advertising and promotional materials that are completely factual and in good taste, conforming to the highest standards of ethical advertising. Franchisees must avoid any advertising, marketing, or promotion that may be harmful to the Papa Ray's Pizza Restaurant brand, Aw's business, the goodwill associated with the Marks, or other Papa Ray's Pizza Restaurant franchisees. Before using any advertising or promotional materials not already approved by Aw, franchisees must submit them for approval, and unapproved materials are deemed disapproved if written approval is not received within 30 days.

In addition to individual local advertising efforts, Aw franchisees may be required to participate in a local or regional advertising cooperative if one is formed and approved by Aw. Franchisees must contribute to the cooperative in the amount and manner agreed upon by a majority of its members. Contributions to the cooperative can be credited toward local advertising expenditure requirements. Aw assumes no liability or obligation regarding the maintenance, direction, or administration of the cooperative, including any failures by franchisees to make required contributions.
