You acknowledge that the operating assistance and Operations Manual that we provide to you pursuant to this Section 6 of the Agreement are intended to protect the Marks and System, and are not intended to control the day-to-day operations of the Papa Ray's Pizza Restaurant, since you are solely responsible for the day-to-day operations and the Papa Ray's Pizza Restaurant will be under your control at all times.

What This Means (2025 FDD)
According to Aw's 2025 Franchise Disclosure Document, the franchisee is responsible for the day-to-day operations of the Papa Ray's Pizza Restaurant. While Aw provides an Operations Manual and operating assistance, these are intended to protect the brand's Marks and System, not to control daily operations. The FDD states that the Papa Ray's Pizza Restaurant will be under the franchisee's control at all times.
However, Aw retains certain rights to ensure compliance with standards. They can inspect the premises, observe operations, interview employees and customers, test inventory, and inspect records. If the restaurant receives an unacceptable rating based on these inspections, the franchisee may have to reimburse Aw for inspection costs and further inspections. Aw also reserves the right to implement a mystery shopper program to monitor product and service quality.
In the event a franchisee defaults on the Franchise Agreement and fails to cure the default after written notice, Aw has the option to enter the premises and take control of the Papa Ray's Pizza Restaurant's operations. The franchisee would then be responsible for paying Aw a management service fee, plus all associated expenses, until Aw determines the default has been resolved and compliance is restored. This clause does not obligate Aw to operate the restaurant during the default period, but gives them the right to do so.
