ers on whose business skill, financial capability and personal character we are relying in entering into this Agreement. Those individuals will be referred to in this Agreement as "Owners."
Through the expenditure of considerable time, effort and money, we and our affiliates have developed a unique system for the establishment and operation of restaurants called "Papa Ray's Pizza & Wings" (referred to in this Agreement as "Papa Ray's Pizza Restaurants"), which sell pizza, wings, rib tips, calzone wraps, salads, appetizers and related food and beverage items for on-premises dining, carry-out and delivery in conjunction with distinctive business formats, signs, equipment, layouts, systems, methods, procedures, designs and advertising (all of which we refer to in this Agreement as "the System"). We identify the System by the use of certain trademarks, service marks and other commercial symbols, including the service mark "Papa Ray's Pizza & Wings" and certain associated designs, artwork and logos, which we may change or add to from time to time (collectively, the "Marks").
We grant to persons who meet our qualifications and who are willing to undertake the investment and effort necessary a franchise to own, establish and operate a Papa Ray's Pizza Restaurant in accordance with the System. This Franchise Agreement is being presented to you because of the desire you have expressed to obtain the right to develop, own and be franchised to operate a Papa Ray's Pizza Restaurant.
2. GRANT OF FRANCHISE
2.1 Term. You have applied for a franchise to own and operate a Papa Ray's Pizza Restaurant at one site approved by us in the following general area (when the exact location is determined, the parties will complete Exhibit 1 attached hereto):
_________________________________. We have approved your application in reliance on all of the representations you made in that application. As a result, and subject to the provisions of this Agreement, we grant to you a franchise (the "Franchise") to operate a restaurant using the Marks ("Papa Ray's Pizza Restaurant") and to use the System in the operation of that Papa Ray's Pizza Restaurant, for a term of ten (10) years commencing on the Agreement Date, unless this Agreement terminates before the end of such term as provided in Section 16 of this Agreement. Termination or expiration of this Agreement will constitute a termination or expiration of your Franchise. (All references to the "term" of this Agreement refer to the period from the Agreement Date, to the date on which this Agreement actually terminates or expires.)

According to Aw's 2025 Franchise Disclosure Document, the Papa Ray's Pizza System relies on distinctive business formats, signs, equipment, layouts, systems, methods, procedures, designs, and advertising. These elements collectively define how a Papa Ray's Pizza Restaurant should be established and operated. Aw also identifies the System using trademarks, service marks, and commercial symbols, including the service mark "Papa Ray's Pizza & Wings" and associated designs and logos, which Aw may change or add to over time.
To maintain the standards of the Papa Ray's Pizza Restaurants, Aw requires that all menu items meet high standards for taste, texture, appearance, and freshness. This is achieved by using properly trained personnel who strictly adhere to Aw's recipes, cooking techniques, and processes as outlined in the Operations Manual. Franchisees are prohibited from altering, diluting, substituting, or changing the quality or composition of any ingredients and materials.
Proprietary products are also integral to the Papa Ray's Pizza system. Franchisees may be required to purchase and use proprietary products from Aw or a limited number of authorized suppliers and maintain a sufficient inventory of these products. Franchisees acknowledge that the recipes, cooking techniques, and processes are integral to the System, and failure to adhere to them, including the proper handling and storage of ingredients and prepared menu items, can be detrimental to the System and Marks. This ensures consistency and protects the brand's reputation across all franchise locations.
