What This Means (2025 FDD)

According to the 2025 Aw Franchise Disclosure Document, Exhibit 4 outlines the conditional assignment of telephone numbers and social media accounts. When a franchisee assigns their franchise, they must transfer all social media accounts, including passwords and login information, to Aw.

The assignment agreement states that the franchisee's right to use social media accounts associated with Aw's trademarks is solely due to a limited license granted by Aw. Once the franchise agreement expires or terminates, the franchisee no longer has any rights to the social media accounts associated with Aw's trademark.

Upon assignment, the assignee assumes all terms, covenants, and conditions of the social media companies with respect to the accounts, as if the assignee had originally been issued such accounts. Aw retains the right to change and transfer the social media accounts. This assignment agreement ensures Aw maintains control over its brand's online presence and customer communications, even when a franchise changes ownership.
