What This Means (2024 FDD)
Based on the 2024 Franchise Disclosure Document, prospective Auntie Annes franchisees are required to sign a Non-Disclosure and Confidentiality Agreement during the process of investigating the purchase of a franchise. This agreement ensures that any sensitive information disclosed by Auntie Annes Franchisor SPV LLC is kept confidential and not disclosed in an unauthorized manner. The agreement is effective upon signing and remains in effect as long as the Confidential Information remains confidential and proprietary to Auntie Annes.
This agreement is in place because, during the investigation process, Auntie Annes may share sensitive business information with potential franchisees. This information could include trade secrets, operational procedures, financial data, and other proprietary details critical to the Auntie Anne's business model. To protect its competitive advantage and maintain the integrity of its franchise system, Auntie Annes requires this legal commitment to confidentiality.
For a prospective franchisee, this means they must carefully review and understand the terms of the Non-Disclosure and Confidentiality Agreement before signing. They should be aware that they will be legally bound to protect any confidential information they receive from Auntie Annes during their investigation. Failure to comply with this agreement could result in legal action from Auntie Annes. This is a fairly standard practice in franchising, as franchisors need to protect their proprietary information while allowing potential franchisees to assess the business opportunity.
While the excerpt specifies the existence of a Non-Disclosure and Confidentiality Agreement, the specific details of what constitutes "Confidential Information" and the exact restrictions on its use are not detailed in this section. A prospective franchisee should carefully review the full agreement (Exhibit C) to understand the scope of these restrictions and ensure they are comfortable with the obligations before proceeding with the franchise purchase.
