What This Means (2024 FDD)

According to Auntie Annes's 2024 Franchise Disclosure Document, Auntie Annes is the owner of all rights, titles, and interests in its Proprietary Marks, including the goodwill associated with them. This means that Auntie Annes retains ownership of its brand reputation and the value associated with its trademarks. As a franchisee, any goodwill you establish through the use of Auntie Annes's trademarks will ultimately benefit Auntie Annes exclusively.

This arrangement is typical in franchising, where the franchisor maintains control over its brand and image. The Franchise Agreement stipulates that all usage of the trademarks by the franchisee and any goodwill established will inure to the exclusive benefit of Auntie Annes. This ensures that the brand's reputation remains consistent across all franchise locations and that the franchisor can protect its trademarks effectively.

Upon the expiration or termination of the Franchise Agreement, all rights to use the Proprietary Marks automatically revert to Auntie Annes without any payment to the franchisee. The franchisee retains no rights to the Proprietary Marks after the agreement ends. Furthermore, franchisees are prohibited from taking any action that could question or contest Auntie Annes's rights or interest in the Proprietary Marks and the associated goodwill. This underscores the importance of understanding that franchisees are granted a limited license to use the trademarks and build goodwill for the benefit of the franchisor during the term of the agreement.
