What This Means (2024 FDD)

According to Auntie Anne's 2024 Franchise Disclosure Document, a franchisee must provide written notice to Auntie Anne's at least 90 days before any proposed Control Transfer. In addition to this notification, the franchisee must provide all requested information to Auntie Anne's at least 60 days prior to the proposed Control Transfer.

This advance notice allows Auntie Anne's to evaluate the proposed transfer, assess the transferee's qualifications, and ensure that all necessary conditions are met. These conditions include ensuring all outstanding payments are settled, verifying that neither the franchisee nor the transferee is in default of any agreements, and confirming the transferee meets the requirements for new franchisees, including completing the Management Training Program and demonstrating proficiency in English.

The 90-day notification period and the 60-day information submission requirement provide Auntie Anne's with ample time to conduct due diligence and protect its brand standards. Failing to provide the required notice or information within the specified timeframes could result in the rejection of the transfer or a default under the Franchise Agreement.

It is important for prospective Auntie Anne's franchisees to understand these requirements regarding Control Transfers, as they ensure a smooth transition and maintain the integrity of the franchise system. Franchisees should carefully review the Franchise Agreement and consult with Auntie Anne's to ensure full compliance with these transfer conditions.
