All ideas, concepts, techniques, or materials relating to a Business or the System or derivations or modifications of the Intellectual Property or any other element of the System (collectively, "Innovations"), whether or not protectable intellectual property and whether created by or for you or your Owners, employees, or contractors, must be promptly disclosed to us and will be deemed to be our sole and exclusive property, part of the System and the Intellectual Property, and works made-for-hire for us.
To the extent any Innovation does not qualify as a work made-for-hire for us, by this Section you assign ownership of that Innovation, and all related rights to that Innovation, to us and agree to sign (and to cause your Owners, employees, and contractors to sign) whatever assignment or other documents we request to evidence our ownership or to help us obtain intellectual property rights in the Innovation.
We and our affiliates have no obligation to make any payments to you or any other person with respect to any Innovations.
You may not use any Innovation in operating the Franchised Business or otherwise without our prior approval.

What This Means (2024 FDD)
According to Auntie Annes's 2024 Franchise Disclosure Document, franchisees must promptly disclose all ideas, concepts, techniques, or materials related to the business, the System, or any modifications of the Intellectual Property. These are considered Auntie Annes's sole and exclusive property. This includes anything related to the business or system, regardless of whether it can be protected by intellectual property laws.
These Innovations are automatically deemed the property of Auntie Annes, considered part of the System and Intellectual Property, and classified as works made-for-hire. If any Innovation does not legally qualify as a work made-for-hire, the franchisee must assign ownership and all related rights to Auntie Annes. This assignment requires signing documents to confirm Auntie Annes's ownership or to help them secure intellectual property rights for the Innovation.
Auntie Annes and its affiliates are not obligated to provide any payment or compensation to the franchisee or any other person for these Innovations. The franchisee is prohibited from using any Innovation in operating their franchised business without prior approval from Auntie Annes. This clause ensures that any improvements or modifications to the Auntie Annes system become the property of the franchisor, maintaining uniformity and control across all franchise locations.
