What This Means (2024 FDD)

According to Auntie Annes's 2024 Franchise Disclosure Document, several obligations must be met upon the expiration or termination of the franchise agreement. The franchisee must immediately cease using the Auntie Annes system, including all trademarks, names, symbols, and methods. They are also responsible for making changes to the Franchised Business to distinguish it from its former appearance as an Auntie Anne's location. If the franchisee fails to do so, Auntie Anne's has the right to make those changes and charge the franchisee for all costs incurred, including a 15% administrative fee. This ensures that the brand's identity is protected even after a franchise ceases operation.

Furthermore, the franchisee is required to return all hard and electronic copies of confidential information and trade secrets, including manuals and other materials related to the business's operation. This includes erasing any digital copies from computer systems and providing a certification that all copies have been returned or destroyed. Within five days of expiration or termination, the franchisee must pay all outstanding amounts owed to Auntie Annes and its affiliates. The franchisee must also immediately stop identifying themselves as a current or former Auntie Annes franchisee.

Finally, the franchisee must comply with the restrictive covenants outlined in Section 15 of the agreement, which pertain to confidential information and restrictive covenants. These post-termination obligations are designed to protect Auntie Anne's brand, trade secrets, and financial interests, and ensure a smooth transition when a franchise agreement ends. Franchisees should carefully review these obligations to understand their responsibilities upon the termination or expiration of their franchise agreement.
