What This Means (2024 FDD)
According to Auntie Annes's 2024 Franchise Disclosure Document, if a franchisee fails to protect the confidentiality of the manuals, Auntie Annes has the right to terminate the Franchise Agreement without providing an opportunity to cure the default. This termination is effective immediately upon sending notice.
This means that Auntie Annes franchisees must take precautions to keep the manuals secure from theft, unauthorized copying, unauthorized access, fire, or other acts that may jeopardize the confidentiality of its contents. The manuals contain proprietary information about the Auntie Annes system, and franchisees are responsible for ensuring that their employees and agents also maintain the confidentiality of this information.
This policy is stricter than some franchise agreements, which may allow a period to correct the issue. The immediate termination clause highlights the importance Auntie Annes places on protecting its confidential information and trade secrets. Prospective franchisees should understand that any breach of confidentiality, even unintentional, could result in the immediate loss of their franchise.
