What This Means (2024 FDD)

Based on the 2024 Auntie Anne's Franchise Disclosure Document, the franchisee is an independent entity and not considered an employee or agent of Auntie Anne's Franchisor SPV LLC. The franchise agreement explicitly defines "Franchisor" as Auntie Anne's Franchisor SPV LLC and "Franchisee" as the individual or entity entering into the agreement. This distinction establishes a contractual relationship between two independent parties rather than an employer-employee or principal-agent relationship.

The agreement includes an acknowledgement section where the franchisee confirms that no unauthorized statements or promises have been made. This further reinforces the understanding that the franchisee is entering into the agreement based on the information provided in the Franchise Disclosure Document and the Franchise Agreement itself, and not based on any representations made by employees or agents of Auntie Anne's that are not documented in those official documents.

Furthermore, the franchisee represents and warrants that they are not employed by or affiliated with any competing business. This declaration underscores the franchisee's independent status and their commitment to operating the Auntie Anne's franchise without conflicting interests. The franchisee also agrees to indemnify and hold Auntie Anne's harmless from any costs or damages arising from a breach of the agreement, which is a standard provision in franchise agreements that further clarifies the independent nature of the relationship.
