What agreements do I sign with Auntie Annes to operate a Cinnabon Co-Branded Shop?

In order to operate a Cinnabon Co-Branded Shop, you must (i) purchase an Auntie Anne's® franchise from us, sign a Franchise Agreement with us, and sign the Co-Branded Shop Schedule, which is attached as Exhibit C to this Disclosure Document (the "Co-Branded Shop Schedule") and (ii) purchase a Cinnabon® franchise from Cinnabon and sign a Cinnabon® franchise agreement and co-branded schedule with Cinnabon.
The terms of the Cinnabon® franchise offering, franchise agreement, and related agreements that Cinnabon will require you to sign are disclosed in the Cinnabon® Disclosure Document, which you must obtain from Cinnabon.
We will not grant you the right to operate a Cinnabon Co-Branded Shop, unless Cinnabon agrees to offer you a Cinnabon® franchise and to permit the franchise to be operated at a co-branded location.

What This Means (2024 FDD)
According to the 2024 Auntie Annes FDD, to operate a Cinnabon Co-Branded Shop, you must first purchase an Auntie Anne's franchise. As part of this, you are required to sign a Franchise Agreement with Auntie Anne's, as well as the Co-Branded Shop Schedule. The Co-Branded Shop Schedule is attached as Exhibit C to the Franchise Disclosure Document.
In addition to the agreements with Auntie Anne's, you must also purchase a Cinnabon franchise from Cinnabon. This requires signing a Cinnabon franchise agreement and a co-branded schedule directly with Cinnabon. The specific terms and conditions of these agreements are detailed in Cinnabon's own Franchise Disclosure Document, which you must obtain separately from Cinnabon.
It's important to note that Auntie Anne's will not grant you the right to operate a Cinnabon Co-Branded Shop unless Cinnabon also agrees to offer you a Cinnabon franchise and permits it to be operated at a co-branded location. This interdependency means that your ability to open a co-branded shop is contingent on approvals from both Auntie Anne's and Cinnabon.
