What This Means (2025 FDD)
According to Aunt Millies Bakeries' 2025 Franchise Disclosure Document, 'Distribution Rights' refer to the sole right a distributor has to sell and distribute the company's products to outlets within a specific geographic area. This area, defining the scope of the distributor's rights, is detailed in Schedule A of the Distribution Agreement. The outlets to which the distributor has the right to sell are described in Schedule B. These outlets include retail stores, restaurants, and institutional accounts that purchase products through direct store delivery. However, distribution rights do not extend to street vendors, outlets serviced by methods other than direct store delivery, or bakery thrift stores operated by Aunt Millie's or its affiliates.
These distribution rights constitute a key asset for the distributor, as Aunt Millies Bakeries recognizes the distributor's ownership of these rights, which continue until they are sold or transferred according to the Distribution Agreement. The agreement specifies that any termination of the agreement requires the distributor, or Aunt Millies Bakeries on the distributor's behalf, to sell these distribution rights. Furthermore, the distributor grants Aunt Millies Bakeries a security interest in these distribution rights to secure any indebtedness or liability to the company.
However, Aunt Millies Bakeries retains certain rights that can impact the distributor's territory. For example, if an outlet decides to switch to a different delivery method, Aunt Millies Bakeries is permitted to sell directly to that outlet without violating the distributor's rights. In such cases, the distributor will not receive any proceeds from Aunt Millies Bakeries' direct sales to that outlet, but the distributor retains the distribution rights associated with that outlet. If the outlet later decides to reinstate merchandising through Aunt Millies Bakeries, the distributor has the exclusive right to provide those services on Aunt Millies Bakeries' behalf.
In the event of a sale or transfer of the distribution rights, the distributor must pay Aunt Millies Bakeries a transfer fee equal to 2% of the sales price to cover administrative activities. If the distributor has equity in their distribution rights (i.e., the value of the rights exceeds any outstanding balance owed to Aunt Millies Bakeries), the equity will be paid to the distributor according to a payment schedule outlined in Schedule D. This highlights the importance of understanding the terms and conditions related to the sale, transfer, and potential termination of distribution rights, as they directly impact the distributor's investment and operational control.
