What This Means (2025 FDD)

According to Aunt Millies Bakeries's 2025 Franchise Disclosure Document, distributors are granted a limited, non-transferable, non-exclusive right to use the trademarks within their designated Sales Area. This permission allows distributors to use the trademarks to identify the products they are distributing and to identify themselves as authorized distributors of Aunt Millies Bakeries products. The trademarks include those listed on Schedule B of the agreement, as well as any trademarks, trade names, or graphical designations found on the packaging of the products supplied by Aunt Millies Bakeries.

This right is specifically restricted to the Sales Area, meaning distributors cannot sell or distribute products bearing the Aunt Millies Bakeries trademarks outside of their assigned territory. They are also obligated to take reasonable steps to prevent their agents or employees from distributing the products outside the Sales Area. This territorial restriction is a common practice in franchising to protect the market areas of individual franchisees and maintain brand consistency.

The agreement emphasizes that Aunt Millies Bakeries or its affiliates retain exclusive ownership of the trademarks, and distributors cannot dispute this ownership or claim any rights to the trademarks or the associated goodwill. Distributors are also prohibited from using the trademarks in any corporate title or trade name of their business. Any marketing or promotional materials using the trademarks, other than those provided by Aunt Millies Bakeries, must be submitted for approval before use. This ensures that all marketing efforts align with the brand's standards and image. The right to use the trademarks is contingent upon Aunt Millies Bakeries maintaining its rights to those marks; if Aunt Millies Bakeries loses rights to a particular mark, the distributor's right to use that mark is terminated.
